Terms of Service

1. Acceptance of Terms

By accessing or using the SelectAgent platform (“Service”), operated by Select Immersive Experiences LLC (“we,” “us,” or “Company”), you agree to be bound by these Terms of Service. If you do not agree to these terms, do not use the Service.

2. Description of Service

SelectAgent is an AI agent platform that enables individuals and businesses to create, customize, and deploy AI-powered assistants. Agents are deployed on Telegram and accessible through our mobile applications. The Service includes agent configuration, hosting, AI processing, and ongoing maintenance.

3. Account Registration

To use SelectAgent, you must:

  • Provide accurate and complete business or personal information
  • Supply a valid Telegram Bot API token for agent deployment
  • Maintain the security of your account credentials and claim codes
  • Be at least 18 years of age or the age of legal majority in your jurisdiction

You are responsible for all activity that occurs under your account.

4. Subscription and Payment

Pricing Tiers

  • Starter: $97/month — 2 premium skills included
  • Business: $197/month — 6 premium skills + concierge setup
  • Executive: $297/month — All 15 premium skills + priority support

Setup Fees

All tiers include $0 setup fees.

Skill Upgrades

Premium skills are included with your plan. Upgrade your tier to access more skills.

Annual Prepayment

Annual plans are available at a discount (pay 10 months, receive 12 months of service).

Payment Processing

All payments are processed by Stripe, Inc. By subscribing, you authorize recurring charges to your payment method. No invoicing or net-30 terms are offered.

5. Payment Failure and Suspension

  • Grace period (Days 1–3): Your agent continues operating normally. You will receive payment reminder notifications.
  • Suspension (Day 7): Your agent is suspended and will no longer respond to messages.
  • Deletion (Day 30): Your account data, agent configuration, and chat history are permanently and irrecoverably deleted.

6. Cancellation and Refunds

  • You may cancel your subscription at any time. No contracts or commitments.
  • Monthly subscription fees are pro-rated if you cancel mid-billing cycle.
  • Tier upgrades take effect immediately. Downgrades take effect at next billing cycle.
  • Upon cancellation, your agent is deactivated immediately. Data is retained for 30 days in case of reactivation, then permanently deleted.

7. Acceptable Use

You agree not to use SelectAgent to:

  • Send spam, unsolicited messages, or misleading communications
  • Impersonate another person or entity
  • Distribute harmful, abusive, harassing, or illegal content
  • Engage in any activity that violates applicable laws or regulations
  • Attempt to circumvent security measures or access other users' data
  • Use the Service for any purpose that could harm minors

We reserve the right to suspend or terminate accounts that violate these terms. Repeated violations (3+ incidents) will result in permanent account termination.

8. AI Agent Limitations

  • AI agents generate responses using artificial intelligence and may occasionally produce inaccurate or incomplete information.
  • Agents operate within the boundaries and knowledge you configure during setup. They will not fabricate information beyond their training.
  • SelectAgent is not a substitute for professional advice (legal, medical, financial, or otherwise).
  • You are responsible for reviewing and confirming the accuracy of information your agent provides to your customers.

9. Intellectual Property

  • The SelectAgent platform, including its software, design, and branding, is owned by Select Immersive Experiences LLC.
  • You retain ownership of your business data, agent configurations, and content you provide during setup.
  • The personality profile (SOUL.md) generated from your input belongs to you.
  • You grant us a limited license to use your data solely to operate and improve the Service.

10. Privacy

Your use of SelectAgent is also governed by our Privacy Policy, which describes how we collect, use, and protect your information.

11. Limitation of Liability

To the maximum extent permitted by law, Select Immersive Experiences LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Service, including but not limited to lost revenue, lost profits, or business interruption. Our total liability shall not exceed the amount you have paid us in the 12 months preceding the claim.

12. Service Availability

We strive for 99.9% uptime but do not guarantee uninterrupted service. We may perform maintenance, updates, or experience outages beyond our control. We will make reasonable efforts to notify you of planned downtime.

13. Termination

Either party may terminate this agreement at any time. You may cancel your subscription through the Service or by contacting support. We may terminate your account for violation of these terms, non-payment, or at our discretion with 30 days' notice.

14. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Florida, without regard to conflict of law principles. Any disputes shall be resolved in the courts of the State of Florida.

15. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes via email. Continued use of the Service after changes take effect constitutes acceptance.
